What you agree to when you buy Numerus.

Written in plain English, because terms nobody reads protect nobody.

Who you are buying from

Numerus AI LLC, a Wyoming limited liability company, at 30 N Gould St Ste N, Sheridan, WY 82801, United States. One person runs it: Michael Haddad. You can reach him at michael@michaelhaddad.co, and he answers his own email.

Below, “we” and “I” both mean Numerus AI LLC. “You” means the person or company that bought. Your contract is with the company, and only the company. Michael acts on its behalf and takes on no personal obligation to you.

What you are buying

A plugin for the Claude desktop app, an install guide, tutorial videos, and on the With me and Teams tiers, time with Michael. You are buying a licence to use these, not ownership of them. The agents you build with it, the words you write into them and everything they produce are yours, and always were.

Numerus is an independent product. It is not made, endorsed or supported by Anthropic, Notion or Airtable, and their names belong to them.

Who can buy

Numerus is sold for business use. When you buy, you confirm that you are at least eighteen, that you are buying for a business or profession rather than for private use, and that if you buy for a company you have its authority to do so. If, despite this, the law where you live treats you as a consumer, the parts of these terms that the law does not allow give way to it, and the rest stands.

The licence

One licence covers one named person. Numerus runs inside your own Claude desktop app, which is itself a per-person subscription, so the licence follows the same shape: the person who buys it is the person who uses it. The licence is personal to you, cannot be transferred, and is not exclusive.

You may install it on your own devices, change the skill files, and adapt the agents however you like. What you change stays under this licence; it does not become a separate product you can sell. What you may not do is pass the plugin, the guide or the videos to anyone outside your licence, resell them, publish them, or offer them as part of a service to others. If more than one person at your company needs it, buy a licence each or talk to us about Teams.

The licence ends if you break these terms in a way that matters, if you reverse a payment outside the refund window, or if you take a refund. When it ends, you delete every copy you hold. What you built with it stays yours.

Delivery and payment

The plugin arrives by email, sent by hand, normally within one business day of your payment. If it has not arrived, check your spam folder and then email me and I will resend it.

Prices are in US dollars. Stripe takes the payment. Any sales tax, VAT or similar charge that applies where you are is yours to pay, on top of the price, unless the checkout shows it included.

Refunds

Fourteen days from the day you pay, for any reason or none. Email me and I will refund you in full, to the card you paid with. You do not have to explain, and I will not try to talk you out of it. Once refunded, the licence ends and you delete your copies.

On With me, the five hours are booked from the fifteenth day unless you ask to start sooner. If we have already held a session when you ask for a refund, I refund the licence and any hours not yet used.

After fourteen days the sale is final. If something has gone wrong, email me anyway. I can choose to help beyond what this page promises, and doing so once does not oblige me to do so again.

Updates

One year of updates from the date you buy, on every tier. Numerus is the system I run my own business on, so when I improve mine, I send you the improvements too. Updates arrive by email in the same way the plugin did.

I decide what an update contains and when it ships. An update may change how a feature works, or retire one, when the tools Numerus runs on change. There is no promised number of updates. After a year, what you have keeps working and stays yours. You simply stop receiving new versions unless you choose to renew, if renewal is offered at the time.

Support

Ninety days of technical support by email from the date you buy, covering installation, configuration and things that do not work as the install guide says they will. I answer it myself, on business days, and I aim to reply within two business days. There is no guaranteed response time and no guaranteed fix.

Support does not cover building your business processes for you, debugging tools you connected that are not part of Numerus, or the behaviour of the AI model itself. The With me tier includes five hours of my time for exactly the work support does not cover. Those hours are used within six months of purchase, are booked by email, and are lost if you do not show up without a day’s notice.

What you need to run it

Numerus runs inside the Claude desktop app and needs a paid Claude plan, plus Notion and Airtable accounts, both of which have free tiers that work. Those are separate services with their own prices and their own terms, and we have no control over them. Using them through Numerus means you keep to their terms, and that is on you.

If one of them changes, raises its price or stops working, Numerus may need adapting and that is not a fault in what you bought. Buying Numerus does not include any of those subscriptions.

Your data

Numerus adds no server and no database of its own. Everything it reads and writes lives in your accounts: your Claude, your Notion, your Airtable, your email. The plugin sends nothing to us. Remove it and your data stays exactly where it is.

We do see what you choose to show us: what you send by email, what you share on a screen during a session, and what your agents post into a shared base if you use the option for your agents to ask ours for help. Whatever we see that way, we keep confidential and use only to help you. Never for anyone else, never to train anything.

The only personal information we hold is what you gave us when you paid, which Stripe processes on our behalf, and whatever you write to us by email. We keep it as long as we need it for the sale, support and tax records, and no longer.

What is on you

Your agents act inside your accounts with your permissions. So you review the tools you connect, you read what you approve before you approve it, and you keep the approval gates in place for anything that can spend money, send messages or delete things. You keep your own backups. You keep your logins to yourself.

What an agent produces is a draft for you to check, not advice. Numerus does not give financial, legal, tax or any other professional advice, and nothing it produces should be relied on as if it did. You are responsible for every decision you take and every action your agents take on your behalf.

You use Numerus lawfully. Not to break anyone’s rights, not to send spam, not to do anything the tools it runs on forbid.

What we are not responsible for

AI models change fast and can act in ways nobody predicted. Numerus adds structure, approval gates and checkpoints; it does not make the model predictable. Treat it as you would a new hire with access to your accounts.

NUMERUS IS PROVIDED AS IS. WE MAKE NO PROMISE THAT IT WILL BE ERROR-FREE, UNINTERRUPTED, FIT FOR YOUR PARTICULAR PURPOSE OR THAT ANY AGENT WILL BEHAVE AS INTENDED, AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We are not responsible for what a model does inside your accounts, for decisions you take on the strength of something an agent produced, for the services Numerus runs on, or for losses that follow from any of these. WE ARE NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION OR ANY INDIRECT OR CONSEQUENTIAL LOSS, HOWEVER IT ARISES AND EVEN IF WE WERE TOLD IT WAS POSSIBLE. WHERE LIABILITY CAN BE LIMITED, OUR TOTAL LIABILITY TO YOU FOR EVERYTHING ARISING FROM YOUR PURCHASE IS LIMITED TO WHAT YOU PAID US FOR IT.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot lawfully be limited. Any claim against us must be brought within one year of the event that caused it.

If your use causes a claim against us

If someone brings a claim against us because of how you used Numerus, what you connected it to, what your agents did, or because you broke these terms, you cover the cost of that claim, including reasonable legal fees. We will tell you promptly and let you run the defence, and we will not settle in your name without asking you.

If these terms change

The terms that apply to your purchase are the ones published on the day you bought. If this page changes afterwards, the new version governs later purchases, not yours. The date at the top tells you which version you are reading. A renewal is a new purchase under the terms published on the day you renew.

Disagreements

If something goes wrong, email me first. We each agree to spend thirty days trying to settle it by email or a call before either of us goes to court. Most problems are fixed in the first reply.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute that talking does not settle belongs to the state or federal courts sitting in Sheridan County, Wyoming, and we each accept their jurisdiction. Claims are brought one at a time, in your own name, never as part of a class or group action. You may instead use a small claims court where you live for a claim that fits there.

If you are buying as a consumer rather than for a business, the consumer protections of the country you live in may give you rights that this section cannot take away, and it does not try to.

The rest

This page and your Stripe receipt are the whole agreement between us for your purchase. Nothing said on a call or in a chat adds to it unless I confirm it by email. If a court strikes out one part, the rest stands. If we let something slide once, we can still insist on it later. You cannot hand your licence to someone else; we can hand this agreement to a company that takes over Numerus, and will tell you if we do. Neither of us is at fault for delays caused by things outside our control. If you send us an idea for improving Numerus, we may use it without owing you anything. Notices between us go by email, to the address at the top of this page and the one you paid with.
